Terms of Service for Web Development Services

1.Services To Be Performed
Details about prices, deadlines, functionalities, definitions and hosting are described in a Proposal Document and/or Contract.

2.Modifications
When during a project both parties agree to certain modifications, Road9 Media will consider changes in price and functionalities in the Proposal Document and communicate this with the Client for agreement. If the Client makes modifications to pages which substantially affect functionality and design of the website, without prior notification to Road9 Media, and if this results in extra work by Road9 Media, these modifications will no longer be considered as part of the original agreement, and extra work may be billed separately.

3.Fee and Payment
The Client agrees to pay Road9 Media the agreed fee specified in the Proposal Document and/or Contract.

Payment terms, unless otherwise specified in the Proposal Document: 30% on signing of contract. 70% within 3 weeks after invoice is sent.

Payment will be in Euros, US Dollars or Egyptian Pounds. Details about our bank accounts will be included in the invoice. Road9 Media will invoice the Client after the work is finished as agreed in the project proposal.

Our prices are subject to 10% sales tax.

4.Expenses
All expenses of production as well as related expenses including but not limited to illustration work, photography, in-country travel, messengers, telephone and electronic storage media, are included in the fee specified in 1.2, unless explicitly stated otherwise in the Proposal Document.

5.Time Considerations and Delivery Date
The term of the agreement and delivery date are specified in the Proposal Document. Deadlines can only be met if the Client provides content and materials in time and reacts to design proposals on the dates agreed upon in the proposal and during the working process.

The Client accepts that Road9 Media is not responsible for failure of either the Client or a third party of their choice to provide necessary materials, text and information, or to execute and/or implement recommended modifications (in time).

If the Client or a subcontractor of the Client fails to provide design, materials, or content or fails to implement modifications in time, the period of service specified above will be extended. Road9 Media and the Client will agree on a new timeline and delivery date.

6.Client’s Responsibility
The Client will supply Road9 Media with all text, images, logos, documents, technical details and other necessary materials, if applicable to the project, including but not limited to records pertaining to web site traffic, for the performance of agreed upon services.

7.Copyright Considerations Client
Copyright notice for text, photo images, illustrations delivered by the Client shall appear in the name of the Client, unless otherwise stated in the agreement between Client and Road9 Media. The Client affirms in these cases that they are the full copyright owner of such materials, or that they have obtained proper permission from the copyright owner(s) for use of text, photo images, illustrations. The Client will indemnify Road9 Media and hold Road9 Media blameless against any claims of libel, copyright, or trademark infringement brought against Road9 Media with respect to use of those materials. 

8.Copyright Road9 Media
The copyright will remain with Road9 Media, unless otherwise agreed. Upon receipt of full payment Road9 Media will grant to the Client non-exclusive usage rights of designs for their Internet businesses, organisations, projects, products or publications. In addition, the Client shall have the right to use the designed materials for use as intended in the original service proposal and/or contract, this means, only for the media that the designs have been developed. Additional use needs written permission of Road9 Media. Reselling or unauthorized use for other media of designs of Road9Media is not permitted unless otherwise agreed upon. Road9 Media retains the right to use designs for its portfolio.  

9.Additional usage
If the Client wishes to make any additional uses, for example in other media, of the designs, the Client shall seek permission from Road9 Media for such uses which permission shall be neither unreasonably withheld nor delayed upon payment of a reasonable fee.  

10.Maintenance
Websites developed by Road9 Media are delivered with training in the use of the CMS and bug-fixing and follow up during the first 6 weeks, we offer additional advice and helpdesk services on the basis of a service fee.

We offer maintenance services when the used CMS is generic and developed by Road9 Media (We consider open source systems like Joomla, Drupal, Typo3 etc. ‘generic’.) Maintenance for systems that are not developed by Road9 Media and are not generic will cost extra.

Installation and customizing of additional features or components is not considered maintenance. We will send a separate quote for this.

11.Confidentiality
Road9 Media agrees that any documents or materials supplied by the Client shall be treated as confidential and neither disclosed to third parties nor used in any other way than for development of the Website.

12.Egyptian Law
All considerations and stipulations in this Terms of Service are in line with Egyptian Commercial Law and Investment Law.

13.OECD Guidelines
Road9 Media follows the guidelines developed by the Organization for Economic Co-operation and Development (OECD) for corporate social responsibility. These guidelines are important to us and our business uses these as part of our ethical values. The 9 points of these guidelines are listed below:

1.General
Respect human rights, contribute to sustainable development and the employee’s further education.
2.Information
Offer adequate information, financial as well as other, related to business activity, products and services.
3.Employees
Respect the employee’s union rights, co-operate in various ways with the representatives of the employees and counteract child labour. Inform about and reduce the negative consequences of any shutdowns.
4.Environment
Strive for continuous improvement. Protect the environment, health and safety, for example by environmental management systems and apply the principle of caution. Develop and supply products without inappropriate environmental consequences.
5.Corruption
Never offer bribes. Promote openness and the employee’s awareness about the company’s policy regarding bribes and kickbacks. 6.Interest of customer Give information about products to the customer and establish routines to solve customer controversies.
7.Science and technology
Strive to transfer technology and know-how to the host country.
8.Competition
Do not co-operate with competitors in order to reduce competition.
9.Taxes
Pay taxes in time.

14.Intellectual property
Road9 Media respects the intellectual property and copyrights of software companies, photographers, artists, writers, publishers, designers etc. Road9 Media does not use unlicensed software (‘pirate copies’) or copies of pictures, images, texts or designs for which no permission has been granted.

Road9 Media is not responsible for the copyrights of any materials provided by the Client.

15.Termination Provisions.
The Client or Road9 Media may, either individually or by mutual agreement, terminate their working relationship by notifying the other party in writing.
The Client and Road9 Media agree that circumstances or conditions may arise that warrant or necessitate termination of the Client-Contractor working relationship. This only applies to unforeseen circumstances that influence other work or working relationships, e.g. serious illness, death, terrorism, war etc. This does not apply to minor illnesses, short power cuts or other short term problems with facilities. In view of this possibility, both the Client and Road9 Media agree that should the relationship be terminated, it will be done in an amicable fashion, maintaining a cooperative and professional attitude, with respect for the reputation and dignity of the other party.

If the agreement is terminated by either the Client or Road9 Media, no new work shall be initiated. Any work previously authorized by the Client up to receipt of the termination notice shall be completed, and the Client agrees to prompt payment for all reasonable and verified expenses incurred by Road9 Media.
These same terms will apply if either the Client or Road9 Media should initiate termination.
